These General Terms and Conditions apply to all offers, quotations, agreements and legal relationships of Climaneth. In the event of any inconsistency or conflict between these General Terms and Conditions and any specific, project-related or product-specific conditions issued by or agreed with Climaneth, the specific conditions shall prevail. The applicability of any general or specific terms and conditions used by the Counterparty is expressly rejected.
Deviations from these General Terms and Conditions shall only be valid if explicitly agreed in writing by Climaneth. If one or more provisions are held to be null and void or voidable, the remaining provisions shall remain fully valid and effective.
All offers and quotations issued by Climaneth are non-binding, unless explicitly stated otherwise. An agreement is concluded upon written confirmation by Climaneth, or when Climaneth has commenced performance.
Obvious errors or mistakes in offers or agreements shall not be binding upon Climaneth.
All prices are exclusive of VAT, levies and duties, and exclude transport, assembly, installation, travel and accommodation costs, unless stated otherwise.
Not included are, inter alia: structural or constructional modifications, lifting and hoisting equipment, scaffolding or aerial work platforms, electrical, mechanical or control installations provided by third parties, and work resulting from deviations from agreed boundary conditions.
Climaneth is entitled to adjust prices if cost-determining factors change.
Unless agreed otherwise, payment shall be made as follows: 30% advance payment upon order and 70% prior to shipment of the complete system from Bergschenhoek, the Netherlands. Payment shall be made without suspension or set-off. In the event of late payment, the Counterparty shall be in default by operation of law and shall owe statutory commercial interest.
All judicial and extrajudicial collection costs shall be borne by the Counterparty.
Climaneth is entitled to suspend its obligations until full payment has been received.
Climaneth is entitled at all times to require security for the fulfilment of payment obligations.
All claims of Climaneth shall become immediately due and payable if payment deadlines are exceeded, attachment is levied, bankruptcy or suspension of payments is applied for, or if the Counterparty’s business is terminated or transferred.
Delivery shall take place ex works (factory/warehouse of Climaneth), unless agreed otherwise in writing. The risk of loss, damage or depreciation of the Products shall transfer to the Counterparty at the moment the Products are made available. If the Counterparty delays acceptance, Climaneth is entitled to charge storage costs and any additional damage.
The Counterparty shall ensure unrestricted access to the site, safe working conditions, all required permits, and correct technical boundary conditions. Damage, loss or theft of goods at or near the workplace shall be at the risk of the Counterparty, unless caused by wilful intent of Climaneth.
Climaneth is entitled to suspend its Services if performance is impeded by circumstances attributable to the Counterparty.
Prior to full installation, a limited number of windows shall first be fitted with insect screens, after which a functional test shall be conducted. Climaneth is not responsible for the selection of mesh type or mesh size, the structural suitability of the greenhouse, or additional loads or damage resulting from installation. The effectiveness of insect protection is not guaranteed.
Adjustment, recalibration and maintenance are essential and fall outside Climaneth’s liability if not carried out correctly.
